IPOs跟基金經理人的簡單問題 - 經濟

(1) Why do firms engage in IPOs? What is the role of the investment
bank that serves as the underwriter? Why are there many IPOs in
some periods and few IPOs in other periods?
(2) Suppose you are a pension fund manager and the fund invests in
Hewlett-Packard. You feel unsatisfied with the way managers are
managing the firm and its performance. What choices you have to
deal with it? Please explain the possible actions and consequences.

募集資金 流動性好 樹立名聲 回報個人和風投的投入

現行法令規定，公司要上市(櫃)必須經過「券商」的輔導，才能向證交所(上市)
或櫃買中心(上櫃)申請上市或上櫃，這裡所指的券商，就是證券公司的承銷部門，
也就是「承銷商」。所以「承銷商」在股票市場的角色之一就是輔導公司，
並協助司完成上市(櫃)掛牌交易的目的。

在景氣好股價高時發行 可以以比較好的價格發行 反之則否 所以會在市場比較
熱絡時發行

對於經理人由於持股多 出脫不易 所以會有兩項措施
成為董事會的成員
並得到其他董事的認同
給管理人壓力

使高階管理人注意 連絡高階管理人 提出意見
如果是有用的建議一般來說是會採納
管理階層的人也不願經理人做更大的動作
